1. Service Description

TweetAgent is a desktop application that uses AI agents (powered by third-party AI models) to automate engagement on Twitter/X, including but not limited to: liking tweets, replying to tweets, posting original content, and following accounts. The Services operate by controlling a web browser on your computer via Chrome DevTools Protocol (CDP) and posting content via third-party APIs.

You acknowledge and agree that TweetAgent is an automation tool that performs actions on your Twitter/X account on your behalf. All actions taken by the software are attributed to your account and are your sole responsibility.

2. User Responsibilities and Assumption of Risk

2.1 Account Ownership

You represent and warrant that:

• You are the authorized owner of any Twitter/X account you connect to TweetAgent
• You have the legal right to automate actions on such accounts
• You are at least 18 years old
• You will provide accurate information when setting up your account

2.2 Assumption of All Risk

You expressly acknowledge and agree that your use of the Services is at your sole risk.

Without limiting the foregoing, you assume all risk and liability for:

• Account suspension or termination — Twitter/X or any third-party platform may suspend, restrict, or permanently ban your account for using automation tools. TweetAgent bears no responsibility for any account actions taken by Twitter/X or any other platform.
• Content posted on your behalf — AI-generated content (tweets, replies, takes) posted through the Services may be inaccurate, inappropriate, offensive, or in violation of platform rules. You are solely responsible for all content posted to your account.
• Engagement actions — Likes, follows, replies, and other engagement actions performed by the AI agent reflect on your account. You accept full responsibility for these actions.
• Reputation and brand impact — Any impact to your personal or professional reputation resulting from automated actions is your sole responsibility.
• API costs — You are responsible for all costs incurred through third-party API usage (Anthropic Claude, PostBridge, or any other service) configured in the application.
• Data security — You are responsible for securing your device, API keys, and browser sessions. TweetAgent stores API keys locally using your operating system's encryption, but cannot guarantee absolute security.

2.3 Compliance with Third-Party Terms

You are solely responsible for ensuring your use of TweetAgent complies with:

• Twitter/X Terms of Service and Platform Rules
• Anthropic's Acceptable Use Policy
• PostBridge Terms of Service
• Any other third-party service terms applicable to your use
• All applicable local, state, national, and international laws and regulations

TweetAgent does not monitor, review, or guarantee compliance with any third-party terms of service. Violation of third-party terms may result in account suspension, legal liability, or other consequences for which you bear sole responsibility.

3. API Keys and Credentials

3.1 Your API Keys

The Services require you to provide your own API keys for third-party services (Anthropic, PostBridge). These keys are:

• Stored locally on your device using OS-level encryption
• Never transmitted to TweetAgent servers
• Your sole responsibility to obtain, manage, and secure

3.2 Browser Sessions

Twitter/X authentication is performed by you manually logging into a Chrome browser window. TweetAgent does not store, collect, or have access to your Twitter/X username or password. The browser session cookie is maintained locally on your device.

4. No Warranty

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied.

To the fullest extent permissible under applicable law, TweetAgent disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• That the Services will be uninterrupted, error-free, or secure
• That AI-generated content will be accurate, appropriate, or compliant with any platform's rules
• That the Services will not result in account suspension or other adverse consequences
• That the Services will achieve any particular result or outcome

5. Limitation of Liability

5.1 No Liability for Consequential Damages

In no event shall TweetAgent, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business
• Account suspension, termination, or restriction on any platform
• Reputational damage
• Loss of data or content
• Cost of substitute services
• Any damages arising from AI-generated content

5.2 Maximum Liability

TweetAgent's total aggregate liability shall not exceed the amount you paid to TweetAgent in the twelve (12) months preceding the claim, or fifty dollars ($50 USD), whichever is greater.

5.3 Essential Basis

You acknowledge that the limitations of liability in this section are an essential element of the agreement between you and TweetAgent, and that TweetAgent would not provide the Services without such limitations.

6. Indemnification

You agree to indemnify, defend, and hold harmless TweetAgent and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Content posted to your accounts through the Services
• Your violation of these Terms
• Your violation of any third-party terms of service or applicable law
• Any claim by a third party related to actions performed on your accounts
• Your API key usage and associated costs

7. Intellectual Property

7.1 TweetAgent IP

The Services, including all software, designs, and documentation, are owned by TweetAgent and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Services.

7.2 Your Content

You retain ownership of content you create and personas you configure. AI-generated content posted to your accounts is your responsibility.

8. Termination

8.1 By You

You may stop using the Services at any time by uninstalling the application and deleting your account.

8.2 By Us

We reserve the right to suspend or terminate your access to the Services at any time, for any reason, without notice or liability.

8.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Sections 2.2, 4, 5, 6, and 9 survive termination.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

9.2 Arbitration

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration administered in Toronto, Ontario, Canada. The arbitration shall be conducted by a single arbitrator.

9.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

10. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and TweetAgent.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Failure to enforce any provision does not constitute a waiver.
• Assignment: You may not assign these Terms. TweetAgent may assign freely.
